Wrongful freeze-outs:

In a corporate freeze-out, the controller is required to compensate minority shareholders for the no-freeze-out value of shares taken from them. When the freeze-out is instigated by the majority at the expense of the minority, a breach of fiduciary duty has occurred that can be the subject of legal action.

Breach of fiduciary duty:

Business officers owe fiduciary duties to shareholder, owners and other investors. These fiduciary duties require that the owners act with the "utmost good faith and loyalty" to each other and to the company. A breach of fiduciary duty may occur by the majority terminating minority shareholders, by the company refusing to declare dividends or because of excessive salaries and bonuses paid to executives.
